1. Agreement Overview

These Affiliate Program Terms & Conditions ("Affiliate Terms") govern your participation in the SyncFutures Affiliate Program (the "Program"). By registering for and participating in the Program, you ("Affiliate," "you," or "your") agree to be bound by these Affiliate Terms.

SyncFutures LLC ("SyncFutures," "we," "us," or "our"), a Texas-based limited liability company, reserves the right to modify these Affiliate Terms at any time. We will notify you of material changes by email and by posting the updated terms on our website. Your continued participation in the Program after such changes constitutes your acceptance of the revised Affiliate Terms.

2. Commission Structure

Affiliates earn commissions for successfully referring customers to SyncFutures:

  • Commission Rate: 20% recurring commission on all subscription payments made by customers you refer
  • Lifetime Commissions: Commissions apply for the lifetime of the referred customer's active subscription
  • Net Sale Calculation: Commissions are calculated on the net sale amount, excluding taxes, processing fees, and refunds
  • Custom Rates: SyncFutures may offer custom commission rates to select partners at its sole discretion

Commissions are tracked through our custom affiliate tracking platform. All commission calculations are final and at SyncFutures' sole discretion.

3. Payment Terms

  • Minimum Payout Threshold: $100 USD must be accumulated before payment is issued
  • Payment Method: Payments are processed monthly via PayPal
  • Payment Delay: Commissions become payable 30 days after the customer's payment is received. After the 30-day delay period, commissions are paid on the next monthly payout cycle (typically the last business day of the month). This delay period accounts for potential refunds and chargebacks.

    Payment Timeline Example:

    • Customer pays: January 15, 2025
    • Commission becomes eligible: February 14, 2025 (30 days later)
    • Commission paid to you: February 28, 2025 (next monthly payout date)
  • Valid Payment Information: Affiliates must provide and maintain a valid PayPal email address to receive payments. SyncFutures is not responsible for payments sent to incorrect or outdated payment information
  • Tax Responsibility: Affiliates are solely responsible for paying all applicable taxes on commissions earned. SyncFutures does not withhold taxes from affiliate payments
  • Payment Suspension: SyncFutures reserves the right to withhold payment if we suspect fraudulent activity or violation of these terms
  • Tax Documentation Required Before First Payout: Before processing your first commission payout, you must provide required tax documentation to ensure legal compliance:
    • U.S. Affiliates: IRS Form W-9 (Request for Taxpayer Identification Number)
    • International Affiliates: IRS Form W-8BEN (Certificate of Foreign Status) or W-8BEN-E (for entities)

    Tax forms can be submitted by emailing affiliates@syncfutures.com or through your affiliate dashboard (if form upload feature is available).

    Consequences of Missing Documentation:

    • U.S. Affiliates: Payments will be delayed until W-9 is received; 24% backup withholding may apply
    • International Affiliates: 30% backup withholding will be applied to all payments per IRS requirements

    You will receive email reminders if tax documentation is missing or expired. The Company cannot process payouts without valid tax forms on file.

4. Refunds, Chargebacks, and Disputes

4.1 Commission Reversals

Commissions are subject to reversal in the following circumstances:

  • Refunds: If a referred customer requests and receives a full or partial refund of their subscription payment, any commission paid to the affiliate for that transaction will be deducted from the affiliate's next commission payment or payout.
  • Chargebacks: If a customer disputes a charge with their credit card company (chargeback), resulting in a reversed payment, the associated commission will be reversed and deducted from the affiliate's account balance.
  • Fraudulent Transactions: Commissions earned from fraudulent transactions, stolen credit cards, or any other invalid payment methods will be reversed immediately. SyncFutures reserves the right to withhold future payouts if fraudulent activity is suspected.

4.2 Negative Balance

If commission reversals result in a negative account balance, the affiliate must either:

  • Allow the negative balance to be deducted from future commissions, or
  • Repay the negative balance directly to SyncFutures within 30 days of notification

Failure to resolve a negative balance may result in:

  • Suspension of affiliate status
  • Withholding of future commission payments
  • Legal action to recover owed amounts (if balance exceeds $500)

4.3 Reversal Notification

SyncFutures will notify affiliates via email when a commission is reversed due to refund or chargeback. The notification will include:

  • The referral ID affected
  • The original commission amount
  • The reason for reversal (refund, chargeback, or fraud)
  • The new account balance after reversal

4.4 Dispute Resolution

If an affiliate believes a commission reversal was made in error, they may submit a dispute to affiliates@syncfutures.com within 30 days of the reversal. SyncFutures will review the dispute and provide a final decision within 15 business days.

4.5 No Commission on Trials

Commissions are only paid on actual revenue received by SyncFutures. Free trials, promotional subscriptions, or any subscription period where no payment is collected do not generate commissions. Commissions begin accruing only when the customer makes their first paid payment.

5. Tax Obligations and Independent Contractor Status

5.1 Independent Contractor Relationship

You acknowledge and agree that your participation in the SyncFutures Affiliate Program is as an independent contractor, not as an employee, partner, joint venturer, or agent of SyncFutures LLC ("Company"). This Agreement does not create an employment relationship, and you are not entitled to any employee benefits, including but not limited to:

  • Health insurance or medical benefits
  • Paid time off, vacation, or sick leave
  • Retirement plans or pension benefits
  • Workers' compensation insurance
  • Unemployment insurance benefits
  • Any other employment-related benefits

As an independent contractor, you have no authority to bind the Company or make any representations on behalf of the Company unless expressly authorized in writing.

5.2 Affiliate Tax Responsibility

Complete Tax Liability: You are solely and exclusively responsible for determining, collecting, reporting, and remitting all applicable taxes on commission payments received through the SyncFutures Affiliate Program. This includes, but is not limited to:

  • Federal, state, and local income taxes
  • Self-employment taxes (Social Security and Medicare taxes for U.S. affiliates)
  • Estimated quarterly tax payments (if required by your jurisdiction)
  • Value Added Tax (VAT), Goods and Services Tax (GST), or sales tax (where applicable)
  • Any other taxes, duties, or levies required by your country, state, province, or local jurisdiction

No Company Withholding: Except as required by law (see Sections 5.3 and 5.4 below), the Company does not withhold income taxes, Social Security taxes, Medicare taxes, or any other taxes from commission payments. You receive the full gross amount of commissions and are responsible for all tax obligations.

Compliance Requirement: You must comply with all applicable tax laws and regulations in your country or jurisdiction of tax residence. Failure to meet your tax obligations may result in penalties imposed by tax authorities, for which the Company bears no responsibility.

5.3 U.S. Affiliates - Tax Documentation and Reporting

Form W-9 Requirement: If you are a U.S. person (including U.S. citizens, U.S. resident aliens, or entities organized in the United States), you must provide a completed IRS Form W-9 (Request for Taxpayer Identification Number and Certification) before receiving commission payments. The W-9 must include:

  • Your legal name or business name
  • Your correct Taxpayer Identification Number (TIN) - either Social Security Number (SSN) or Employer Identification Number (EIN)
  • Your current mailing address
  • Proper entity classification (individual, sole proprietor, LLC, corporation, etc.)

TIN Verification: The Company may verify your TIN with the IRS to ensure accuracy. Providing an incorrect or invalid TIN may result in 24% backup withholding on all payments.

Form 1099-NEC Issuance: If you earn $600 or more in commissions during a calendar year, the Company will issue IRS Form 1099-NEC (Nonemployee Compensation) reporting your total earnings. The 1099-NEC will be:

  • Sent to you by email by January 31st of the following year
  • Filed with the IRS on your behalf
  • Available upon request by emailing affiliates@syncfutures.com (we will provide a copy within 5-7 business days)
  • Used by you to report income on your federal tax return (typically Schedule C for sole proprietors)

Seven-Year Retention: The Company retains copies of all 1099 forms for at least seven (7) years as required by IRS regulations. You can request copies at any time during this period by emailing affiliates@syncfutures.com, even if your affiliate status has been terminated. This ensures you always have access to tax documentation for filing amended returns or responding to IRS inquiries.

State Tax Reporting: The Company may also report your earnings to your state tax authority if required by state law.

Backup Withholding: The Company is required to withhold 24% of all payments for federal backup withholding if:

  • You fail to provide a valid W-9
  • You provide an incorrect TIN
  • The IRS notifies the Company that you are subject to backup withholding
  • You fail to certify that you are not subject to backup withholding

Backup withholding amounts are remitted to the IRS on your behalf and can be claimed as a credit on your federal tax return.

5.4 International Affiliates - Tax Documentation and Withholding

Form W-8BEN Requirement: If you are NOT a U.S. person (i.e., you are a foreign individual or non-U.S. entity), you must provide a completed IRS Form W-8BEN (Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding) or Form W-8BEN-E (for entities) before receiving commission payments.

Purpose of W-8BEN: This form:

  • Certifies your foreign status (non-U.S. person)
  • Claims exemption from U.S. tax withholding (if eligible)
  • Claims reduced withholding rate under an applicable tax treaty between your country and the United States

30% Default Withholding: If you do NOT provide a valid Form W-8BEN, U.S. federal law requires the Company to withhold 30% of all commission payments for U.S. federal income tax purposes. This withholding is mandatory and will be remitted to the IRS on your behalf.

Tax Treaty Benefits: Many countries have tax treaties with the United States that reduce or eliminate withholding on certain types of income. To claim treaty benefits, you must:

  • Provide a valid Form W-8BEN
  • Cite the specific tax treaty article that applies
  • Meet all requirements under the treaty (such as residency and beneficial ownership)
  • Provide your foreign Tax Identification Number (if required by the treaty)

Common treaty rates range from 0% to 15%, depending on your country and the type of income.

W-8BEN Validity Period: Form W-8BEN generally remains valid for three (3) years from the date of signature, ending on December 31st of the third year. You must submit an updated form before expiration to maintain treaty benefits or avoid withholding.

FATCA Compliance: Certain international affiliates may be subject to additional reporting requirements under the Foreign Account Tax Compliance Act (FATCA). The Company will comply with all FATCA requirements as mandated by U.S. law.

5.5 Payment Delays for Missing Tax Documentation

No Payment Without Documentation: The Company reserves the right to delay or withhold commission payments until you provide all required tax documentation (W-9 or W-8BEN). This policy ensures compliance with U.S. tax laws and protects both you and the Company.

Notification: If your tax documentation is missing or invalid, the Company will notify you via email and request the necessary forms. You will have thirty (30) days to provide compliant documentation.

Withholding Applied Retroactively: If you fail to provide documentation within 30 days, the Company may:

  • Apply mandatory backup withholding (24% for U.S. affiliates, 30% for international affiliates) to all pending and future payments
  • Withhold payments entirely until documentation is received
  • Remit withheld amounts to the IRS or other tax authorities as required by law

5.6 Record Keeping and Documentation

Affiliate Responsibility: You are solely responsible for maintaining accurate records of all commission income, business expenses, and related financial documentation for tax reporting purposes. Recommended records include:

  • Copies of all commission statements and payout confirmations
  • Records of all referrals generated and commissions earned
  • Business expense receipts (if claiming deductions)
  • Previous years' tax returns and supporting documentation

Retention Period: The Company recommends retaining tax records for at least seven (7) years from the date of filing your tax return, or as required by the tax laws of your jurisdiction, whichever is longer. This protects you in case of tax audits or inquiries from tax authorities.

5.7 Indemnification for Tax Liabilities

Hold Harmless Agreement: You agree to indemnify, defend, and hold harmless SyncFutures LLC, its officers, directors, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees), penalties, interest, or other charges arising from or related to:

  • Your failure to report commission income to applicable tax authorities
  • Your failure to pay required taxes on commission income
  • Your provision of incorrect or fraudulent tax documentation
  • Any tax audit, investigation, or dispute involving your commission income
  • Penalties or interest assessed by tax authorities due to your non-compliance
  • Any other violation of tax laws or regulations related to your participation in the affiliate program

This indemnification obligation survives termination of your participation in the SyncFutures Affiliate Program.

5.8 Changes to Tax Requirements

Company's Right to Modify: The Company reserves the right to modify tax documentation requirements, withholding rates, reporting procedures, or other tax-related policies at any time to comply with:

  • Changes in U.S. federal tax laws or IRS regulations
  • Changes in state or local tax laws
  • Changes in international tax treaties or agreements
  • Updates to IRS forms or filing requirements
  • New regulatory guidance or court decisions

Notification of Changes: The Company will notify you of any material changes to tax requirements via email or by posting updates to the Affiliate Terms. You may be required to submit new or updated tax documentation as a result of such changes.

Continued Participation: Your continued participation in the affiliate program after receiving notice of changes constitutes acceptance of the new tax requirements.

5.9 No Tax, Legal, or Accounting Advice

Informational Purposes Only: The information provided in these Terms regarding tax obligations is for general informational purposes only and should not be construed as tax, legal, or accounting advice. Tax laws are complex and vary by jurisdiction, and this information may not address all aspects of taxation that may be relevant to your specific circumstances.

Consult Qualified Professionals: You are strongly encouraged to consult with qualified tax professionals, certified public accountants (CPAs), enrolled agents, tax attorneys, or other licensed advisors in your jurisdiction to:

  • Understand your specific tax obligations related to affiliate income
  • Determine your proper tax classification (sole proprietor, LLC, corporation, etc.)
  • Calculate and make estimated quarterly tax payments (if required)
  • Properly report affiliate income on your tax returns
  • Claim eligible business expense deductions
  • Comply with all applicable federal, state, local, and international tax laws

Company Not Liable: The Company is not responsible for providing tax advice and shall not be held liable for any tax consequences, penalties, interest, or other damages resulting from your reliance on information provided in these Terms. You bear full responsibility for your tax compliance.

5.10 Penalties for Tax Fraud or Misrepresentation

Fraudulent Documentation: Providing false, fraudulent, or intentionally misleading tax information (including false TINs, fraudulent W-9 or W-8BEN forms, or misrepresentation of tax residency) is a serious violation of these Terms and may be a violation of federal law.

Consequences: If the Company determines or suspects that you have provided fraudulent tax documentation, the Company may:

  • Immediately terminate your participation in the affiliate program
  • Withhold all pending commission payments
  • Report the suspected fraud to the IRS or other appropriate authorities
  • Pursue legal action to recover any tax liabilities incurred by the Company as a result of your fraud
  • Ban you permanently from future participation in the affiliate program

Legal Penalties: Tax fraud may result in criminal prosecution, substantial fines, and imprisonment under federal and state law. The IRS takes tax fraud very seriously and actively investigates cases of fraudulent documentation.

6. Affiliate Benefits

As a SyncFutures affiliate in good standing, you receive the following benefits:

6.1 Commission Structure

  • 20% lifetime recurring commission on all subscription payments from your referrals
  • Commissions apply for as long as the referred customer remains subscribed
  • No cap on total earnings per referral

6.2 Free Plan Access

All approved and active affiliates receive complimentary access to a SyncFutures plan while maintaining active affiliate status:

  • Default Tier: Starter plan ($39/month value) - includes 3 broker connections with unlimited accounts per connection
  • Plan Tier Assignment: SyncFutures may, at its sole discretion, grant select affiliates access to higher plan tiers (Professional: $89/month value, or Ultimate: $129/month value) based on performance, partnership value, strategic considerations, or negotiated terms. Plan tier assignments are not guaranteed and may be modified or revoked at any time at SyncFutures' discretion.
  • Access to all core trade copying features
  • Full platform functionality for creating authentic content and demos for your audience
  • Free access continues as long as you remain an active affiliate in good standing

6.3 Affiliate Dashboard Access

  • Real-time tracking of clicks, conversions, and earnings
  • Access to performance analytics and comprehensive reports
  • Marketing materials and promotional resources
  • Custom referral links and promo codes

6.4 Termination of Benefits

  • Access Contingency: Free plan access is contingent on maintaining active affiliate status in good standing.
  • Termination Transition Period: If your affiliate status is terminated (voluntarily or for cause), you will have seven (7) days to:
    • Access your affiliate dashboard
    • Export your historical referral and commission data (CSV format)
    • Continue using the free Starter plan

    After 7 days, both your free plan access and affiliate dashboard access will be permanently revoked.

  • Post-Termination Data Access: If you need historical data after the 7-day period, contact affiliates@syncfutures.com and we will provide a CSV export within 5 business days.
  • You may continue as a paying customer at standard rates if desired
  • Commission tracking continues for existing referrals even after termination (subject to payout terms in Section 3)

7. Cookie Duration and Attribution

  • Cookie Duration: Affiliate tracking cookies remain active for 60 days from the initial click on your affiliate link
  • First-Touch Attribution: The first affiliate to refer a customer receives credit for that referral. Subsequent affiliate links clicked by the same customer will not override the original attribution during the 60-day period
  • Conversion Window: If a referred visitor subscribes within 60 days of clicking your affiliate link, you will receive credit for that referral

8. Affiliate Responsibilities

As an Affiliate, you agree to:

  • Provide accurate and complete information during registration and maintain accurate account details
  • Maintain only one affiliate account per person or entity
  • Comply with all applicable federal, state, local, and international laws and regulations
  • Follow ethical marketing practices and maintain professional conduct
  • Accurately represent SyncFutures, its services, features, and pricing
  • Not make false, misleading, or exaggerated claims about SyncFutures or its services
  • Disclose your affiliate relationship in accordance with FTC guidelines and applicable regulations
  • Monitor your promotional activities and ensure compliance with these terms

9. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination and forfeiture of commissions:

  • Self-Referrals: Using the affiliate program to fraudulently generate commissions from accounts you control is strictly prohibited. However, legitimate use is permitted:

    Prohibited: Creating fake accounts, using multiple identities, or generating fraudulent referrals for the purpose of earning commissions

    Permitted:

    • You may use your own promo code when subscribing to SyncFutures as a genuine paying customer (you receive the discount AND earn commission)
    • Immediate family members may use your referral if they are genuine, paying customers
    • The key distinction is intent and legitimacy: authentic customer use is allowed; artificial commission generation is not

    If we determine that self-referrals are being used fraudulently, we reserve the right to reverse commissions and terminate your affiliate status.

  • Branded Keyword Bidding: Paid advertising (Google Ads, Bing Ads, etc.) on branded keywords including "SyncFutures," "Sync Futures," or variations thereof without express written permission
  • Spam and Unsolicited Communications: Sending unsolicited emails, messages, or engaging in any form of spam marketing
  • Fraudulent Tactics: Cookie stuffing, click fraud, automated bot traffic, or any deceptive referral practices
  • Unauthorized Discounts: Offering discounts, rebates, cashback, or other incentives from your affiliate commissions without prior written approval from SyncFutures
  • Coupon/Deal Sites: Promoting affiliate links on coupon, deal, or discount websites without express written permission
  • Trademark Infringement: Using SyncFutures trademarks, logos, or brand assets in domain names, social media handles, or in ways that suggest official partnership
  • Misleading Content: Creating content that misrepresents features, guarantees results, or makes false claims about SyncFutures
  • Illegal Activities: Any illegal, fraudulent, or unethical marketing practices

10. Promotional Guidelines

  • Content Creation: Affiliates may create original content including reviews, tutorials, comparison articles, and videos about SyncFutures
  • Accuracy Requirement: All promotional content must be accurate, factual, and not misleading. Claims about features, pricing, and performance must be verifiable
  • FTC Disclosure Requirement: Federal Trade Commission (FTC) regulations require affiliates to clearly and conspicuously disclose material connections with brands they promote. You are legally required to disclose your affiliate relationship with SyncFutures in all promotional content. This is a legal requirement under 16 CFR Part 255 (FTC Endorsement Guides), not a SyncFutures policy.
    • Required Disclosure: Your disclosure must:
      • Be clear, conspicuous, and unambiguous
      • Appear before or alongside your recommendation (not buried in footnotes)
      • Use plain language consumers understand
      • Comply with platform-specific requirements (e.g., #ad or #affiliate on social media)
    • Acceptable Examples:
      • "I'm a SyncFutures affiliate and may earn a commission if you sign up through my link."
      • "Full disclosure: I'm a paid partner with SyncFutures."
      • Social media: "#ad #affiliate #partner"
    • Confidentiality of Commission Terms: While FTC requires disclosure of the affiliate relationship, you must NOT disclose:
      • Your specific commission rate or percentage (e.g., "I earn 20%")
      • Commission amounts you've earned
      • Other affiliates' commission rates or performance
      • Any confidential program terms or arrangements

      These details are confidential per Section 14 of these Terms. You may only disclose that you are an affiliate and may earn commissions, without specifying amounts or rates.

    • Non-Compliance Consequences: Failure to disclose may result in FTC enforcement action (fines up to $50,120 per violation), platform penalties, and termination from the affiliate program.

  • Brand Assets: You may use SyncFutures logos, screenshots, and approved marketing materials for promotional purposes. Contact affiliates@syncfutures.com for access to brand assets
  • No Implied Partnership: You may not imply or suggest that you are a partner, employee, or official representative of SyncFutures beyond your status as an affiliate
  • Risk Disclosure: When promoting SyncFutures, include appropriate risk disclosures regarding futures trading and automated trading systems

11. Termination

  • Voluntary Termination: Either party may terminate this agreement at any time with 30 days written notice via email
  • Immediate Termination: SyncFutures may terminate your participation immediately and without notice if you violate these Affiliate Terms, engage in fraudulent activity, or damage SyncFutures' reputation
  • Effect of Termination: Upon termination, you must immediately:
    • Cease all promotional activities
    • Remove all affiliate links from your websites, social media, and content
    • Stop using your promo code in marketing materials

    SyncFutures Actions Upon Termination: We will:

    • Deactivate your referral tracking links (new clicks will not be tracked)
    • Delete or disable your Stripe promo code coupon (new customers cannot use it)
    • Prevent new referrals from being attributed to your account
    • Continue tracking commissions from existing referred customers as outlined in "Commission Settlement" above
  • Commission Settlement: Upon termination:
    • Immediate Payout: Pending commissions that have exceeded the $100 minimum payout threshold and completed the 30-day delay period will be paid on the next monthly payment schedule
    • Post-Termination Earnings: Commissions continue to accrue from previously referred customers for as long as they remain subscribed, even after your affiliate status ends
    • Requesting Post-Termination Payouts: To request payout of post-termination commissions, email affiliates@syncfutures.com from your registered email address with:
      • Your full name (as registered in the affiliate program)
      • Your PayPal email address for payment
      • Confirmation of the commission balance you're requesting

      For security purposes, we may request additional identity verification before processing post-termination payouts. Standard $100 minimum payout threshold applies.

    • Monthly Audit: We conduct monthly audits of terminated affiliate accounts and automatically process payouts for balances exceeding $100
    • Final Settlement: Any remaining balance below $100 will be paid in a final settlement within 60 days of your last referred customer canceling their subscription
    • Exception: Commissions forfeited only in cases of termination for cause (fraud, policy violations, etc.)
  • Account Access: Upon termination, you will lose access to your affiliate dashboard and tracking links
  • Survival: Sections regarding confidentiality, limitation of liability, and indemnification survive termination

12. Modifications to Program

SyncFutures reserves the right to modify or discontinue the Affiliate Program at any time, including:

  • Changing commission rates for new referrals (existing referrals maintain their original commission rate)
  • Modifying payment terms, thresholds, or methods
  • Updating these Affiliate Terms
  • Discontinuing the Program entirely

Material changes will be communicated via email to your registered affiliate email address. Continued participation in the Program after notification of changes constitutes acceptance of the modified terms.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • SyncFutures is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Affiliate Program
  • The Affiliate Program is provided "as is" and "as available" without warranties of any kind, express or implied
  • SyncFutures does not guarantee any specific level of earnings, traffic, or conversions
  • Our total liability to you for any claims arising from the Affiliate Program shall not exceed the total commissions paid to you in the 12 months preceding the claim
  • SyncFutures is not responsible for technical issues, tracking errors, or third-party service failures that may affect commission tracking or payments

14. Confidentiality

  • You agree to keep confidential any non-public information about the Affiliate Program, including but not limited to commission rates, special arrangements, and performance data
  • You may not disclose the identity, contact information, or performance metrics of other affiliates
  • You may publicly state that you are a SyncFutures affiliate, but may not disclose specific commission amounts or rates without permission
  • This confidentiality obligation survives termination of your participation in the Program

15. Indemnification

You agree to indemnify, defend, and hold harmless SyncFutures LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your breach of these Affiliate Terms; (b) your promotional activities; (c) your violation of any law or regulation; or (d) any claim that your promotional content infringes or violates any third-party rights.

16. Independent Contractor Relationship

You are an independent contractor and not an employee, agent, partner, or joint venturer of SyncFutures. You have no authority to bind SyncFutures or make commitments on its behalf. This agreement does not create an employment relationship, partnership, or agency relationship between you and SyncFutures.

17. Governing Law and Disputes

These Affiliate Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any disputes arising from these Affiliate Terms or your participation in the Program shall be resolved in the state or federal courts located in Texas, and you consent to the exclusive jurisdiction of such courts.
